1. Eligibility and Account Registration

A. Eligibility

You must be at least 18 years old to use the Application. By using the Application, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

B. Account Registration

To access certain features of the Application, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

2. Description of the Service

ThetaGrind is a portfolio tracking and trading analytics platform that allows users to:

• Connect brokerage accounts via third-party integrations to import trade data
• Manually upload trade data from broker statements
• View portfolio performance metrics and analytics
• Maintain a trading journal with notes and annotations
• Analyze historical trading performance
• Generate forecasts and projections based on historical data

The Application aggregates and displays data but does not execute trades, provide trading signals, or make investment recommendations on your behalf.

3. No Financial Advice

The Application does not provide financial, investment, legal, or tax advice. All information, data, analytics, metrics, forecasts, and other content provided through the Application are for informational and educational purposes only.

• We do not recommend any specific securities, portfolios, transactions, or investment strategies.
• Any analytics, performance metrics, or projections displayed are based on historical data and user inputs and are not predictions of future performance.
• You are solely responsible for evaluating the merits and risks of any investment decision.
• You should seek the advice of licensed and qualified professionals before making any financial, investment, tax, or legal decisions.

4. User Responsibilities and Acceptable Use

You agree to use the Application only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Application in any way that violates any applicable law or regulation
• Attempt to gain unauthorized access to any portion of the Application or any systems or networks connected to it
• Use the Application to transmit any malicious code, viruses, or harmful content
• Interfere with or disrupt the integrity or performance of the Application
• Attempt to reverse engineer, decompile, or disassemble any portion of the Application
• Use automated means (bots, scrapers, etc.) to access the Application without our express written permission
• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
• Share your account credentials with third parties or allow others to access your account

5. Third-Party Integrations

The Application may integrate with third-party services (such as brokerage data aggregators) to import your financial data. By using these integrations, you acknowledge that:

• You are authorizing the third-party service to share your data with us
• The third-party services are governed by their own terms of service and privacy policies
• We are not responsible for the accuracy, availability, or security of data provided by third-party services
• Your use of third-party integrations is at your own risk

6. Intellectual Property

The Application, including its original content, features, and functionality (excluding user-provided content), is and will remain the exclusive property of ThetaGrind and its licensors. The Application is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data, notes, or content you provide to the Application. By submitting content, you grant us a limited license to use, store, and process that content solely for the purpose of providing the Service to you.

7. Disclaimer of Warranties

THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Application will be uninterrupted, timely, secure, or error-free
• The results obtained from the Application will be accurate, reliable, or complete
• Any errors in the Application will be corrected
• The Application will meet your specific requirements or expectations

Data displayed in the Application, including but not limited to pricing data, performance metrics, and analytics, may contain errors, omissions, or inaccuracies. You acknowledge that you use the Application and rely on any information at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THETAGRIND, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or use
• Investment losses or financial damages of any kind
• Cost of substitute services
• Any other intangible losses

WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE LEGAL THEORY UPON WHICH ANY CLAIM IS BASED.

In no event shall our total liability to you for all claims arising from or related to the Application exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless ThetaGrind, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of and access to the Application
• Your violation of these Terms
• Your violation of any third-party right, including any intellectual property or privacy right
• Any claim that your use of the Application caused damage to a third party
• Any investment decisions you make based on information obtained through the Application

10. Termination

We may terminate or suspend your account and access to the Application immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Application will immediately cease
• We may delete your account and associated data in accordance with our Privacy Policy
• Provisions of these Terms that by their nature should survive termination shall survive (including ownership provisions, warranty disclaimers, indemnity, and limitations of liability)

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Application shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on this page and updating the "Last Updated" date.

Your continued use of the Application after any changes to these Terms constitutes acceptance of those changes. If you do not agree to the new terms, you must stop using the Application.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ThetaGrind regarding the use of the Application and supersede all prior and contemporaneous agreements, representations, and understandings.
